1. Agreement
These Terms & Conditions ("Terms") form a legally binding agreement between you and PixelGrid LLC, a Texas limited liability company ("PixelGrid," "we," "us," or "our"), governing your access to and use of PublishPro, including the websites publishpro.app, create.publishpro.app, and all related software, tools, features, and services (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms, our Privacy Policy, and our Refund & Cancellation Policy, each of which is incorporated into these Terms by reference.
If you do not agree to these Terms, you must not access or use the Service.
Please read Sections 7 (Disclaimer of Warranties), 8 (Limitation of Liability), 9 (Indemnification), and 15 (Dispute Resolution) carefully, as they contain important limitations on your legal rights.
1.1 Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service.
The Service is not intended for minors.
If you use the Service on behalf of a company, publisher, agency, or other organization, you represent that you have the authority to bind that entity to these Terms.
1.2 Consumers and Business Users
Certain provisions of these Terms apply differently depending on whether you are using the Service as an individual consumer or as a business.
Nothing in these Terms limits or excludes any legal rights that cannot be waived under applicable consumer protection laws.
2. The Service
PublishPro is an online formatting platform that converts manuscripts into professionally formatted paperback and eBook files designed to meet the technical specifications of major self-publishing platforms.
2.1 What PublishPro Does Not Do
PublishPro provides formatting software only.
We are not:
a publisher;
a literary agent;
an editor;
a proofreader;
a distributor;
a marketing service; or
a legal or publishing consultant.
We do not publish books on your behalf or guarantee commercial success.
2.2 No Affiliation with Publishing Platforms
PublishPro is not affiliated with, endorsed by, sponsored by, or approved by Amazon, Kindle Direct Publishing (KDP), IngramSpark, Apple Books, Kobo, Barnes & Noble Press, or any other retailer, distributor, or publishing platform.
All trademarks remain the property of their respective owners and are referenced solely to describe compatibility.
Although our formatting engine is designed to produce files that align with publicly available publishing specifications, we cannot guarantee that any publishing platform will accept, approve, or distribute your book.
Publishing platforms may change their technical requirements or content policies at any time without notice, and all acceptance decisions remain entirely under their control.
2.3 Service Availability
We strive to keep PublishPro available and reliable.
However, we do not guarantee that the Service will always be:
uninterrupted;
error-free;
secure;
available at all times; or
free from technical issues.
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time.
Where reasonably possible, scheduled maintenance will be announced in advance.
2.4 Beta Features
Features identified as Beta, Preview, Experimental, or similar labels are provided solely for testing purposes.
These features:
may change at any time;
may be discontinued without notice;
may contain bugs or incomplete functionality; and
should not be relied upon for production work.
3. Your Account
You agree to provide accurate, current, and complete account information and to keep that information updated.
You are responsible for:
maintaining the confidentiality of your login credentials;
all activity occurring under your account;
immediately notifying us at support@publishpro.app if you suspect unauthorized access.
You may not share your account outside the seat limits of your selected plan unless we expressly authorize it.
We reserve the right to suspend or terminate accounts in accordance with Section 13.
4. Your Content
4.1 Ownership
You retain full ownership of all manuscripts, text, images, cover artwork, metadata, and any other content you upload to PublishPro ("Your Content").
Nothing in these Terms transfers ownership of Your Content to PixelGrid.
4.2 Limited License
By uploading Your Content, you grant PixelGrid a limited, non-exclusive, worldwide, royalty-free license to:
host;
store;
process;
convert;
transmit;
reformat; and
display
Your Content solely as necessary to operate and provide the Service to you.
This license:
exists only for providing the Service;
ends when Your Content is deleted, subject to our backup retention policies;
does not allow us to publish, sell, distribute, or otherwise exploit Your Content;
does not allow us to use Your Content for advertising, marketing, testimonials, or case studies without your separate written permission.
PublishPro will never use your uploaded content to train, fine-tune, evaluate, or develop artificial intelligence or machine learning models, whether owned by PixelGrid or any third party.
4.3 Your Responsibilities
You represent and warrant that:
you own Your Content or possess all necessary rights and permissions to upload it;
Your Content does not infringe the intellectual property rights of others;
Your Content does not violate applicable law;
Your Content does not contain malware, malicious software, or harmful code;
Your Content does not contain child sexual abuse material or other unlawful material;
you have the legal right to process any personal information contained within Your Content.
You remain solely responsible for all content you upload.
We do not review, verify, edit, or endorse user content before processing it.
4.4 Backups
PublishPro is a formatting platform and not a file storage or backup service.
While we maintain operational backups for system reliability, you are solely responsible for maintaining your own copies of all manuscripts and exported files.
We cannot guarantee recovery of deleted or lost content.
5. Acceptable Use
You agree not to:
use the Service for any unlawful purpose;
upload content you do not have the legal right to use;
reverse engineer, decompile, or attempt to extract the Service's source code except where prohibited by law;
copy, modify, distribute, rent, lease, sublicense, or resell the Service except as expressly permitted;
interfere with or disrupt the Service or other users;
bypass security measures, rate limits, or usage restrictions;
use automated bots, scrapers, or scripts except through officially supported APIs;
access the Service to build or improve a competing product;
impersonate another person or organization;
upload malicious software or harmful code;
use the Service in violation of applicable export control or sanctions laws.
Violation of this section may result in immediate suspension or termination of your account.
5.1 Export Controls and Sanctions
You represent that you are not located in, ordinarily resident in, or organized under the laws of any country or region subject to comprehensive United States sanctions.
You further represent that you are not listed on any applicable United States restricted-party list and will not use the Service in violation of applicable export control or sanctions laws.
6. Payments, Plans & Renewals
6.1 Plans
PublishPro offers the following products and plans:
eBook Formatting
A one-time payment to convert a single manuscript into a Kindle-compatible EPUB file.
Paperback Formatting
A one-time payment to convert a single manuscript into a print-ready PDF/X-1a file. Pricing is based on the final page count of your formatted manuscript.
Agency Plans
Agency plans are designed for publishers, book designers, formatting agencies, and businesses managing multiple titles.
Agency plans allow you to purchase bundles of paperback and eBook formatting credits through either:
a one-time purchase; or
a monthly subscription.
Pricing is displayed before checkout, including:
the number of included paperback credits;
the number of included eBook credits;
the standalone value of each credit;
any applicable volume discounts.
PublishPro does not currently offer annual subscription plans.
6.2 Preview Before Payment
For one-time formatting purchases, you may upload your manuscript, review a preview of the formatted result, and decide whether to purchase the final downloadable files.
Payment is only required if you choose to proceed with downloading your formatted files.
6.3 Editing Access & Downloads
After purchasing a formatting job, PublishPro may allow continued editing and re-downloading of your formatted files at no additional charge.
This functionality is provided as a convenience and is not a subscription service or separately purchased feature.
We reserve the right to modify or discontinue this accommodation in the future upon reasonable notice.
6.4 Pricing
All prices are displayed in United States Dollars (USD) unless otherwise stated.
Current pricing is displayed within the Service at the time of purchase.
6.5 Payments
Payments are securely processed through Stripe.
PublishPro does not store your complete payment card information.
By completing a purchase, you authorize PublishPro and Stripe to charge your selected payment method for all applicable fees, including any recurring subscription charges until cancellation.
If payment cannot be successfully processed, we may:
retry the payment;
suspend access to paid features;
restrict downloads; or
terminate the affected subscription until payment is received.
6.6 Taxes
Unless expressly stated otherwise, all prices displayed by PublishPro exclude applicable taxes.
Any required taxes, including sales tax, VAT, GST, or similar charges, will be calculated and displayed during checkout based on your billing location and applicable law.
You are responsible for any taxes that we are not legally required to collect.
6.7 Monthly Renewals
This section applies only to monthly Agency Plans.
One-time purchases never renew automatically.
Monthly subscriptions automatically renew at the end of each billing period until cancelled.
By subscribing, you authorize PublishPro to charge your selected payment method at each renewal using the pricing then in effect.
Your renewal details are displayed during checkout and are available in your account settings.
6.8 Price Changes
We may change our pricing from time to time.
Price changes do not affect purchases already completed.
For recurring subscriptions, we will provide at least 30 days' prior notice before any price increase becomes effective.
If you do not agree with the new pricing, you may cancel your subscription before your next renewal date.
6.9 Cancellation
Monthly subscriptions may be cancelled at any time through your account settings.
Cancellation prevents future billing but does not refund the current billing period unless required by applicable law or our Refund & Cancellation Policy.
After cancellation, your subscription remains active until the end of the current paid period.
6.10 Credits & Rollover
Agency plan credits:
are consumed when formatted files become available for download;
remain valid for 12 months from their purchase date if unused;
are non-transferable;
have no cash value except where required by law or our Refund & Cancellation Policy.
6.11 Refunds
Refunds, cancellations, and consumer withdrawal rights are governed by our Refund & Cancellation Policy, which forms part of these Terms.
7. Disclaimer of Warranties
To the fullest extent permitted by applicable law, PublishPro is provided "AS IS" and "AS AVAILABLE."
Except as expressly stated in these Terms, PixelGrid disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of:
merchantability;
fitness for a particular purpose;
non-infringement;
title; and
uninterrupted or error-free operation.
We do not guarantee that:
the Service will always be available;
formatting results will be error-free;
defects will always be corrected;
files generated by the Service will be accepted by any publishing platform;
uploaded content will never be lost or corrupted.
No information or advice provided by PublishPro creates any warranty unless expressly stated in these Terms.
8. Limitation of Liability
Nothing in these Terms limits liability where such limitation is prohibited by law.
To the fullest extent permitted by law, PublishPro, PixelGrid LLC, its officers, employees, contractors, affiliates, and licensors shall not be liable for:
indirect damages;
incidental damages;
consequential damages;
punitive damages;
lost profits;
lost revenue;
business interruption;
loss of goodwill;
loss of business opportunities;
loss or corruption of data;
rejection or removal of your book by any publishing platform.
Our maximum total liability arising from any claim relating to the Service shall not exceed the greater of:
the amount you paid to PublishPro during the 12 months preceding the claim; or
US$100.
These limitations apply regardless of the legal theory upon which the claim is based.
9. Indemnification
This section applies only to business users.
You agree to defend, indemnify, and hold harmless PixelGrid LLC, its officers, employees, contractors, licensors, and affiliates from any claims, damages, liabilities, losses, expenses, or legal fees arising from:
Your Content;
your misuse of the Service;
your violation of these Terms;
your infringement of another person's rights;
disputes between you and your clients, collaborators, authors, or contributors.
We reserve the right to assume control of any defense relating to such claims.
10. Intellectual Property
All rights, title, and interest in PublishPro, including its software, formatting engine, website, user interface, templates, algorithms, branding, documentation, and underlying technology, remain the exclusive property of PixelGrid LLC or its licensors.
These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for its intended purpose.
Nothing in these Terms transfers ownership of PublishPro or its intellectual property to you.
Ownership of manuscripts and formatted output generated from Your Content remains with you, subject to Section 4.
10.1 Feedback
If you submit suggestions, ideas, feature requests, or other feedback regarding PublishPro, you grant PixelGrid LLC a perpetual, worldwide, irrevocable, royalty-free license to use, modify, implement, and incorporate that feedback without restriction or compensation.
11. Third-Party Services
PublishPro may integrate with, connect to, or provide links to third-party services, platforms, websites, or payment providers.
These third-party services are operated independently and are governed by their own terms, privacy policies, and practices.
We are not responsible for:
the availability of third-party services;
their content, products, or services;
their privacy or security practices; or
any loss or damage arising from your use of them.
Your use of any third-party service is entirely at your own risk.
12. Suspension & Termination
12.1 Termination by You
You may close your account or cancel any monthly subscription at any time through your account settings.
Cancelling a subscription prevents future renewals but does not affect the current paid billing period unless otherwise required by law.
12.2 Termination by PublishPro
We may suspend, restrict, or terminate your account immediately if you:
violate these Terms;
engage in fraudulent or illegal activity;
upload unlawful or prohibited content;
threaten the security, stability, or integrity of the Service;
misuse PublishPro or attempt to circumvent usage limits;
are required to be suspended under applicable law.
Where appropriate and legally permissible, we may notify you before suspension and provide an opportunity to resolve the issue.
We may also discontinue the Service or terminate accounts for operational reasons by providing at least 30 days' prior notice, unless immediate termination is required by law.
12.3 Effect of Termination
Upon termination:
your right to access the Service immediately ends;
any licenses granted under these Terms terminate;
active subscriptions will not renew;
previously downloaded files remain yours.
Unless prohibited by law or required for an investigation, you will have 30 days after account termination to download any remaining content stored in your account.
After this period, your data may be permanently deleted in accordance with our Privacy Policy.
Termination due to your breach of these Terms does not entitle you to a refund except where required by law or our Refund & Cancellation Policy.

13. Changes to These Terms
We may update or modify these Terms from time to time.
For material changes, we will provide at least 30 days' notice through email, the Service, or both before the updated Terms become effective.
Your continued use of PublishPro after the effective date constitutes acceptance of the revised Terms.
If you do not agree with a material change, you must stop using the Service and cancel any active subscription before the updated Terms become effective.
Minor updates, including corrections, clarifications, formatting changes, or changes that do not materially affect your rights, may become effective immediately upon publication.
14. Dispute Resolution (United States Users)
This section applies only to users residing in the United States.
If you are a consumer located in another jurisdiction where mandatory consumer protection laws prohibit arbitration, this section does not apply to you.
14.1 Informal Resolution
Before initiating legal proceedings, you agree to contact us at legal@publishpro.app with a written description of the dispute.
Both parties agree to attempt to resolve the dispute informally for at least 60 days before commencing arbitration.
14.2 Binding Arbitration
Except where prohibited by law, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules.
Arbitration shall take place in Travis County, Texas, unless otherwise required by applicable law or mutually agreed.
The arbitrator's decision shall be final and binding and may be entered into any court having jurisdiction.
14.3 Exceptions
Nothing in this section prevents either party from:
bringing an individual claim in a small claims court where eligible;
seeking injunctive or equitable relief relating to intellectual property rights;
pursuing any remedy that applicable law requires to be heard by a court.
14.4 Class Action Waiver
To the fullest extent permitted by law, all claims must be brought individually.
Neither you nor PublishPro may participate in any class action, collective action, representative action, or consolidated proceeding against the other.
14.5 Arbitration Opt-Out
You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing legal@publishpro.app with your account information and a clear statement requesting to opt out.
Opting out affects only the arbitration provision and does not alter the remainder of these Terms.
15. Governing Law
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.
Subject to applicable consumer protection laws and the arbitration provisions above, the state and federal courts located in Travis County, Texas shall have exclusive jurisdiction over disputes arising under these Terms.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
16. Consumer Rights
Nothing in these Terms limits or excludes any consumer rights that cannot legally be waived under the laws of your country of residence.
Where mandatory consumer protection laws conflict with these Terms, those laws shall prevail to the extent of the conflict.
16.1 European Union & European Economic Area
If you are a consumer residing in the European Union or European Economic Area:
you retain all mandatory rights provided under applicable consumer protection legislation;
you may be entitled to a statutory withdrawal period where applicable, as described in our Refund & Cancellation Policy;
the arbitration provisions in Section 14 do not apply where prohibited by applicable law.
PublishPro does not participate in Alternative Dispute Resolution (ADR) schemes for consumer disputes unless required by applicable law.
16.2 United Kingdom
Consumers residing in the United Kingdom retain all rights provided under the Consumer Rights Act 2015 and other applicable consumer legislation.
Nothing in these Terms excludes or limits those rights.
The arbitration provisions of Section 14 do not apply where prohibited by UK law.
16.3 Australia
Australian consumers receive all guarantees and remedies provided under the Australian Consumer Law.
Nothing in these Terms excludes, restricts, or modifies any non-excludable consumer guarantee.
16.4 Other Jurisdictions
If the laws of your country provide mandatory consumer protections that differ from these Terms, those protections shall apply to the extent required by law.
17. General
17.1 Force Majeure
Neither you nor PublishPro will be liable for any delay or failure to perform obligations under these Terms where such delay or failure results from events beyond reasonable control, including natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet outages, utility failures, pandemics, or failures of third-party infrastructure.
This does not relieve either party of any obligation to pay outstanding amounts owed.
17.2 Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent.
PublishPro may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate restructuring, financing, or sale of assets.
17.3 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
17.4 No Waiver
Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.
17.5 Entire Agreement
These Terms, together with our Privacy Policy and Refund & Cancellation Policy, constitute the complete agreement between you and PixelGrid LLC regarding your use of PublishPro.
They supersede all prior agreements, communications, representations, and understandings relating to the Service.
17.6 Notices
We may provide notices by:
email to the address associated with your account;
notifications within the PublishPro platform; or
posting updates on our website.

17.7 Relationship of the Parties
Nothing in these Terms creates any partnership, agency, joint venture, employment relationship, or fiduciary relationship between you and PublishPro.
Each party acts as an independent contractor.
17.8 Third-Party Beneficiaries
Except as expressly provided in these Terms, no third party has any right to enforce any provision of these Terms.
17.9 Language
These Terms are written in English.
Any translated version is provided solely for convenience. In the event of any inconsistency, the English version shall prevail unless otherwise required by applicable law.
17.10 Headings
Section titles and headings are included for convenience only and do not affect the interpretation of these Terms.
